STUD SERVICE CONTRACT
This Stud Service Contract (hereinafter, the “Contract”) is entered into and effective on the date of its signing by the parties, between:
THE SERVICE PROVIDER:
Bullrock Kennels (Sevilla Falcons SL), a company duly incorporated and existing under the laws of Spain, with its registered office at Roalcao 8, 41807, Espartinas, Sevilla, SPAIN, with tax identification number ESB90217530 represented herein by Marco Antonio Castilho Caetano, in his capacity as sole Administrator, hereinafter referred to as “The Provider”.
AND
THE CLIENT:
[Full name of the Client or Company Name], with [Type of identification, e.g., ID/Passport/Tax Identification Number] number [Identification number], residing at [Full address of the Client], [City], [State], [Zip Code], United States of America, hereinafter referred to as “The Client”.
(The Provider and The Client shall be referred to individually as “Party” and collectively as “Parties”).
BACKGROUND
A. The Provider is the owner of the stud dog Bullrock Jay LPK (also known as Bullrock Jay), a specimen of American Bully, duly registered in ABKC. B. The Provider offers stud services using frozen semen from Bullrock Jay LPK. C. The Client wishes to acquire the stud service with frozen semen from Bullrock Jay LPK for their female dog [female dog name], of breed American Bully, for breeding purposes (female dog could be changed anytime before the insemination with a written notification).
THEREFORE, THE PARTIES AGREE AS FOLLOWS:
1. OBJECT OF THE CONTRACT The object of this Contract is the provision by The Provider to The Client of the stud service with frozen semen from the stud dog Bullrock Jay LPK (aka Bullrock Jay), under the terms and conditions set forth herein.
2. RESERVATION (LOCK-IN) 2.1. The Client shall pay The Provider the amount of FIVE HUNDRED UNITED STATES DOLLARS (USD 500.00) as a reservation fee (hereinafter, the “Lock-in”). 2.2. The Lock-in is non-refundable under any circumstances. 2.3. Payment of the Lock-in grants The Client the right to use the stud service at the price stipulated in Clause 3 for a period of two (2) years from the date of signing this Contract.
3. STUD SERVICE PRICE 3.1. The total price for the stud service with frozen semen from Bullrock Jay LPK is FIVE THOUSAND UNITED STATES DOLLARS (USD 5,000.00). 3.2. This price does not include semen shipping costs or any other expenses arising from the insemination process, which shall be the sole responsibility of The Client as established in Clause 5.
4. STUD UTILIZATION PROCEDURE 4.1. When The Client wishes to use the stud, they must contact Bullrock Kennels with reasonable notice (a minimum of 1 month is recommended) to coordinate the shipment of the frozen semen. 4.2. The Client must inform The Provider of their chosen veterinary reproduction clinic in the United States, to which the semen should be sent. The Client will be responsible for confirming that said clinic is equipped and agrees to receive and handle frozen canine semen.

5. SHIPPING AND INSEMINATION PROCESS EXPENSES 5.1. All costs for shipping the frozen semen from the storage clinic designated by The Provider (currently Lake Alfred Animal Hospital/ICSB-FL, 105 East Alfred St. Lake Alfred, FL. 33850, or any other clinic within the USA that Bullrock Kennels may designate in the future), as well as expenses arising from the insemination process (including, but not limited to, veterinary fees, progesterone tests, insemination services, etc.), shall be the sole responsibility of The Client. 5.2. The Client agrees to cover all costs associated with the transport and handling of the frozen semen once it has been dispatched by The Provider.
6. PREGNANCY GUARANTEE AND SECOND INSEMINATION 6.1. In the event that The Client’s female dog does not become pregnant as a result of the first insemination (which must be duly demonstrated by The Client through an official veterinary certificate confirming the absence of gestation, issued by an authorized veterinarian), The Client shall have the right to request a second insemination of the same female dog during her next heat cycle. 6.2. For this second insemination, The Client must pay an additional fee of FIVE HUNDRED UNITED STATES DOLLARS (USD 500.00). Shipping costs and expenses arising from the insemination process for this second occasion will remain the responsibility of The Client. 6.3. This guarantee is limited to a single second insemination and does not extend to subsequent inseminations or other female dogs.
7. METHOD OF PAYMENT 7.1. The total stud payment must be made before the frozen semen is shipped.
8. SEMEN OWNERSHIP Ownership of Bullrock Jay LPK ‘s frozen semen remains at all times with Bullrock Kennels (Sevilla Falcons SL) until the full payment for the stud service has been received and confirmed by The Provider.
9. RESPONSIBILITY 9.1. The Provider guarantees that Bullrock Jay LPK ‘s frozen semen is of the quality expected for a stud service and that the stud dog is free from known genetic or transmissible diseases that may affect reproductive viability at the time of semen collection. 9.2. The Provider is not responsible for the failure of The Client’s female dog to become pregnant, except as stipulated in Clause 6 (Pregnancy Guarantee). Pregnancy depends on multiple factors beyond The Provider’s control, including, but not limited to, the female dog’s health, the timing of insemination, the veterinarian’s experience, and clinic conditions. 9.3. The Client assumes all responsibility for the risks associated with the insemination process and the care of their female dog.
10. CONFIDENTIALITY The Parties agree to maintain the confidentiality of the terms and conditions of this Contract and any private or commercial information shared during its execution.
11. FORCE MAJEURE Neither Party shall be liable for any failure or delay in performing its obligations under this Contract if such failure or delay is caused by events beyond its reasonable control, including, but not limited to, natural disasters, wars, acts of terrorism, pandemics, or failures in transportation or public services.
12. CONTRACT MODIFICATIONS Any modification, addition, or amendment to this Contract must be made in writing and signed by both Parties to be valid and binding.
13. GOVERNING LAW AND JURISDICTION 13.1. This Contract shall be governed by and construed in accordance with the laws of the State of FLORIDA IN USA of the United States of America, without giving effect to its conflict of laws principles. 13.2. Any dispute or controversy arising out of or in connection with this Contract shall be submitted to the exclusive jurisdiction of the state and federal courts located in Saint Augustine, State of FLORIDA.
14. ENTIRE AGREEMENT This Contract constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, and negotiations, whether oral or written.
